These Terms of Service ("Terms") govern access to and use of Trackflow, a project management, issue tracking, Agile and DevOps work management platform provided by BlueRose Technologies Private Limited, doing business as BlueRose Technologies ("BlueRose", "Trackflow", "we", "us" or "our").

By creating an account, accessing, purchasing or using Trackflow, you agree to these Terms. If you are using Trackflow on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

About Trackflow

Trackflow is a software-as-a-service platform designed to help organizations manage software development, projects, tasks, issues and delivery workflows. Depending on the subscription and configuration, Trackflow may include:

  • Project management
  • Issue and ticket management
  • Task and subtask management
  • Backlog management
  • Epic management
  • Sprint management
  • Kanban boards
  • Component management
  • Release management
  • Project dashboards
  • Workflow management
  • GitHub and other integrations
  • Notifications and reminders
  • Reporting and analytics
  • AI-powered productivity features
  • DevOps-related functionality
  • Environment and deployment tracking
  • Other features introduced from time to time

Specific functionality may vary by subscription plan, deployment model, product version or customer agreement.

Definitions

For purposes of these Terms:

  • "Account" means a registered Trackflow account.
  • "Authorized User" means an individual authorized by a Customer or organization to use Trackflow.
  • "Customer" means the individual or organization subscribing to or using Trackflow.
  • "Customer Data" means information, content, files, records, tickets, comments, project information and other information submitted to Trackflow by or on behalf of Customer.
  • "Subscription" means the applicable Trackflow subscription or service arrangement.
  • "Service" means Trackflow and associated services provided by BlueRose.
  • "User Content" means content submitted or created by an individual user.

Eligibility

You must have the legal capacity to enter into these Terms. Trackflow is primarily intended for business, professional, organizational and other legitimate purposes.

If you are using Trackflow on behalf of a company or other organization, you confirm that you have authority to accept these Terms on its behalf.

Account Registration

To use certain Trackflow functionality, you may be required to create an account. You agree to:

  • Provide accurate information
  • Keep account information current
  • Maintain the confidentiality of your credentials
  • Use appropriate security practices
  • Notify us promptly of unauthorized access
  • Not share credentials except where expressly permitted

You are responsible for activity conducted through your account unless caused by circumstances for which you are not reasonably responsible.

Organization and Workspace Accounts

Trackflow may allow users to create or join organizational workspaces. An organization administrator may be able to:

  • Add or remove users
  • Assign roles
  • Control workspace permissions
  • Configure workflows
  • Manage projects
  • Access organizational data
  • Configure integrations
  • Manage subscription settings

If you join an organization-controlled workspace, the organization may control your access to that workspace and its content.

Customer Data

Customer retains ownership of Customer Data. Nothing in these Terms transfers ownership of Customer Data to BlueRose.

Customer grants BlueRose a limited, worldwide, non-exclusive right to host, store, process, transmit and otherwise handle Customer Data solely as reasonably necessary to:

  • Provide Trackflow
  • Operate and maintain the Service
  • Provide technical support
  • Maintain security
  • Prevent abuse
  • Diagnose technical problems
  • Comply with legal obligations
  • Perform other activities expressly authorized by Customer

BlueRose will not sell Customer Data.

Customer Responsibility for Data

Customer is responsible for:

  • The accuracy and legality of Customer Data
  • Obtaining necessary rights and permissions
  • Ensuring appropriate privacy notices and lawful bases
  • Managing access to Customer Data
  • Determining what information is appropriate to upload
  • Maintaining appropriate internal security controls

Customer must not use Trackflow to process information in violation of applicable law or contractual obligations.

User Content

You retain ownership of content you submit to Trackflow, subject to the rights necessary for BlueRose to provide the Service. You represent that you have the necessary rights to upload, store and process such content.

You must not upload content that:

  • Infringes intellectual-property rights
  • Violates privacy rights
  • Contains malicious code
  • Is unlawful
  • Facilitates fraud or abuse
  • Violates these Terms

Acceptable Use

You must use Trackflow responsibly and lawfully. You must not:

  1. Attempt unauthorized access to Trackflow
  2. Circumvent authentication or security controls
  3. Introduce malware or malicious code
  4. Conduct denial-of-service attacks
  5. Abuse APIs or integrations
  6. Scrape or systematically extract data without authorization
  7. Reverse engineer Trackflow except where legally permitted
  8. Resell Trackflow without authorization
  9. Use Trackflow to conduct unlawful activity
  10. Impersonate another person or organization
  11. Interfere with the operation of the Service
  12. Use Trackflow to violate third-party rights
  13. Conduct unauthorized security testing
  14. Attempt to access another customer's data

Additional restrictions may be specified in the Trackflow Acceptable Use Policy.

AI-Powered Features

Trackflow may include AI-powered features such as:

  • Duplicate or repeated ticket detection
  • AI-generated ticket summaries
  • AI reminders
  • AI-assisted subtask creation
  • Recommendations
  • Intelligent project insights
  • Other AI capabilities introduced in the future

AI-generated output may contain errors, omissions or inaccurate information. AI functionality is provided as an assistive tool, not as a substitute for professional judgment. You are responsible for reviewing AI-generated results before relying on them.

BlueRose does not guarantee that AI output will always be:

  • Accurate
  • Complete
  • Current
  • Appropriate
  • Free from errors

Customers should not rely solely on Trackflow AI for decisions involving legal, financial, employment, medical, safety-critical or other high-impact matters.

Where AI services are provided through third-party technology providers, the processing may be subject to the applicable contractual and technical arrangements with those providers.

Third-Party Integrations

Trackflow may integrate with third-party services, including development, source-control, communication, cloud and productivity platforms. Examples may include GitHub and other services supported from time to time.

When you enable an integration, you authorize Trackflow to access information necessary to provide the integration. Third-party services are governed by their own terms and policies.

BlueRose is not responsible for:

  • Third-party outages
  • Third-party changes
  • Third-party security incidents
  • Third-party data practices
  • Third-party functionality
  • Discontinuation of third-party services

Intellectual Property

Trackflow and all associated technology, software, interfaces, designs, documentation, trademarks, branding, algorithms, workflows and other proprietary materials are owned by or licensed to BlueRose. Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

You must not:

  • Copy Trackflow
  • Modify Trackflow
  • Create derivative works
  • Reverse engineer Trackflow except where legally permitted
  • Remove proprietary notices
  • Reproduce Trackflow branding without permission
  • Attempt to extract source code

Feedback

If you provide suggestions, recommendations or feedback regarding Trackflow, you grant BlueRose the right to use such feedback without restriction or compensation, provided that BlueRose does not thereby disclose your confidential information.

Confidentiality

Each party may receive confidential information from the other. The receiving party will:

  • Use reasonable care to protect confidential information
  • Use it only for permitted purposes
  • Restrict access to persons who need it for legitimate purposes

Confidential information does not include information that:

  • Is publicly available
  • Was already lawfully known
  • Is independently developed
  • Is lawfully received from another source without confidentiality restrictions

These confidentiality obligations do not prevent disclosure required by law. Enterprise customers may receive additional confidentiality protections under a separate agreement.

Privacy and Data Protection

BlueRose's handling of personal data is described in the Trackflow Privacy Policy.

Where Trackflow processes personal data on behalf of an organization, additional contractual terms may apply through a Data Processing Addendum (DPA). Depending on the parties, processing and applicable jurisdiction, relevant privacy frameworks may include:

  • India's Digital Personal Data Protection framework
  • GDPR
  • UK GDPR
  • Other applicable data-protection laws

Customers are responsible for determining the legal requirements applicable to their use of Trackflow. BlueRose will implement reasonable technical and organizational measures appropriate to the Service and applicable contractual requirements.

Security

BlueRose takes reasonable measures designed to protect Trackflow and Customer Data against unauthorized access, misuse, loss and alteration. Security measures may include:

  • Access controls
  • Authentication mechanisms
  • Logging and monitoring
  • Infrastructure security
  • Backup procedures
  • Vulnerability management
  • Secure development practices
  • Incident-management processes

No internet-based service can guarantee absolute security. Customers remain responsible for:

  • User permissions
  • Account security
  • Password practices
  • Internal access controls
  • Appropriate handling of Customer Data

Service Availability

BlueRose will use commercially reasonable efforts to maintain Trackflow availability. Unless a separate SLA applies, no specific uptime commitment is made under these Terms.

Trackflow may occasionally be unavailable because of:

  • Scheduled maintenance
  • Emergency maintenance
  • Infrastructure failures
  • Third-party services
  • Network problems
  • Security incidents
  • Force majeure events
  • Events outside BlueRose's reasonable control

Enterprise customers may receive separate uptime commitments under an applicable SLA.

Support

Support availability depends on the applicable subscription. Support may be provided through:

  • Email
  • Support portal
  • Documentation
  • Online resources
  • Other channels designated by BlueRose

Enterprise customers may receive enhanced support and escalation arrangements under their Order Form or SLA.

Free Trials and Free Accounts

BlueRose may offer free trials or free versions of Trackflow. Unless otherwise stated:

  • Trial periods may be limited
  • Certain features may be restricted
  • Usage limits may apply
  • Trial accounts may be suspended or terminated
  • Customer Data may be deleted after the applicable retention period

BlueRose may modify or discontinue free plans subject to applicable law.

Paid Subscriptions

Paid subscriptions are governed by the applicable pricing page, Order Form, proposal or subscription agreement. Fees may depend on:

  • Number of users
  • Features
  • Storage
  • Usage
  • Subscription tier
  • Deployment model
  • Other commercial factors

Unless otherwise agreed:

  • Fees are payable according to the selected billing cycle
  • Applicable taxes are additional
  • Payments are generally non-refundable except where required by law or agreed otherwise

Price Changes

BlueRose may modify subscription pricing. For existing paid subscriptions, material pricing changes will generally apply from the next renewal period unless otherwise agreed.

Enterprise customers are governed by their applicable commercial agreement.

Suspension

BlueRose may suspend access where reasonably necessary to:

  • Protect Trackflow
  • Protect users
  • Prevent security threats
  • Prevent unlawful activity
  • Address material violations
  • Address overdue payments
  • Comply with legal requirements

Where reasonably practicable, BlueRose will provide notice and an opportunity to resolve the issue.

Termination

You may stop using Trackflow at any time. BlueRose may terminate or suspend access if:

  • You materially breach these Terms
  • You engage in unlawful activity
  • Continued access presents a security risk
  • Required payments remain unpaid
  • The Service is discontinued
  • Required by law

Where appropriate, BlueRose will provide reasonable notice.

Data Export and Deletion

Customer may request export of available Customer Data during the applicable subscription or within the applicable post-termination retention period.

After termination, BlueRose may delete Customer Data in accordance with:

  • The applicable subscription
  • The Privacy Policy
  • The DPA
  • Backup and disaster-recovery procedures
  • Applicable law

Customers are responsible for maintaining independent copies of critical information where appropriate.

Backups

BlueRose may maintain backups for operational, security and disaster-recovery purposes. Backups are not intended to replace Customer's responsibility to maintain appropriate copies of critical information.

Modifications to Trackflow

Trackflow is continuously developed. BlueRose may:

  • Add features
  • Modify functionality
  • Improve performance
  • Change interfaces
  • Introduce new AI capabilities
  • Retire obsolete functionality

We will seek to avoid materially reducing core functionality for paid customers without reasonable notice, except where changes are necessary for security, legal or technical reasons.

Beta Features

Trackflow may occasionally provide beta, preview or experimental functionality. Beta features may:

  • Be incomplete
  • Contain defects
  • Change significantly
  • Be discontinued
  • Not be covered by standard SLA commitments

Use of beta features is at the customer's discretion.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, Trackflow is provided on an "as available" and "as is" basis. BlueRose does not guarantee that:

  • Trackflow will always be uninterrupted
  • Trackflow will be completely error-free
  • All defects will be corrected
  • All features will satisfy every business requirement
  • AI output will always be accurate
  • Third-party integrations will always function
  • Trackflow will be suitable for every particular purpose

Nothing in these Terms excludes warranties that cannot legally be excluded.

Limitation of Liability

To the maximum extent permitted by applicable law, BlueRose will not be liable for indirect, incidental, special, consequential or punitive damages, including:

  • Loss of profits
  • Loss of revenue
  • Loss of business opportunities
  • Loss of goodwill
  • Loss of anticipated savings
  • Business interruption

To the maximum extent permitted by law, BlueRose's aggregate liability arising from Trackflow will not exceed the fees actually paid by the Customer for Trackflow during the twelve (12) months immediately preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot legally be limited or excluded. For enterprise customers, the applicable commercial agreement may contain different liability provisions.

Indemnification

To the extent permitted by law, Customer agrees to defend and indemnify BlueRose against third-party claims arising from:

  • Customer's unlawful use of Trackflow
  • Customer Data
  • Violation of third-party rights
  • Material violation of these Terms
  • Unauthorized use of the Service by Customer or its users

Enterprise agreements may contain more detailed indemnification provisions.

Force Majeure

BlueRose will not be responsible for failure or delay caused by events beyond its reasonable control, including:

  • Natural disasters
  • War
  • Terrorism
  • Government actions
  • Internet infrastructure failures
  • Telecommunications failures
  • Widespread cyber incidents
  • Cloud infrastructure failures
  • Labor disruptions
  • Pandemics
  • Other events beyond reasonable control

Governing Law

Unless otherwise specified in a written agreement, these Terms shall be governed by the laws of India. Subject to applicable law, courts located in Bengaluru, Karnataka, India shall have jurisdiction.

Enterprise customers may have separate dispute-resolution provisions under their executed agreement.

Changes to These Terms

BlueRose may update these Terms from time to time. Material changes may be communicated through:

  • Trackflow
  • Email
  • Website notices
  • Other reasonable communication methods

The updated Terms will become effective on the stated effective date. Continued use of Trackflow after the effective date constitutes acceptance of the updated Terms, to the extent permitted by law.

Electronic Acceptance

You may accept these Terms electronically by:

  • Creating an account
  • Selecting an acceptance checkbox
  • Clicking an acceptance button
  • Signing an Order Form
  • Using Trackflow after being presented with these Terms where applicable

Electronic acceptance constitutes your agreement to these Terms.

Order of Precedence

Where a Customer has entered into a separate written agreement with BlueRose, the following order will generally apply in the event of conflict:

  1. Executed Enterprise / Master Agreement
  2. Order Form
  3. Data Processing Addendum
  4. Service Level Agreement
  5. Applicable Subscription Agreement
  6. These Terms of Service
  7. Trackflow Privacy Policy
  8. Acceptable Use Policy
  9. Other published policies

The specific written agreement may expressly establish a different order.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect. The invalid provision will be interpreted or modified to the extent necessary to make it enforceable while preserving its intended purpose, where legally permitted.

No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision later.

Assignment

Customer may not assign or transfer its rights under these Terms without BlueRose's prior written consent, except where permitted as part of a merger, acquisition or corporate restructuring.

BlueRose may assign these Terms as part of a merger, acquisition, restructuring or transfer of substantially all relevant business assets.

Entire Agreement

These Terms, together with applicable policies, Order Forms and separate written agreements, constitute the agreement between the parties regarding Trackflow. They supersede prior understandings relating to the same subject matter except where expressly preserved in writing.

  • You have read these Terms
  • You understand these Terms
  • You agree to be legally bound by them
  • You have authority to accept them where acting on behalf of an organization
